STATUTE RECORDS – EXCLUSIVE LICENSING AGREEMENT
This Agreement is made between Statute Records (“Label”) and [Artist Name] (“Artist”), collectively referred to as the “Parties.”
1. Grant of License
License: The Artist grants the Label an exclusive license to use, reproduce, distribute, and promote the specified recordings (“Licensed Material”) as outlined in this Agreement. The rights granted include, but are not limited to:
- Digital distribution across streaming platforms
- Physical distribution (CDs, vinyl, etc.)
- Synchronization in films, TV shows, commercials, and other media
- Public performance and broadcast rights
Term: The term of this license shall commence on the date of signing this Agreement and continue for a period of [Specify Duration] unless terminated earlier in accordance with the provisions of this Agreement.
2. Royalties and Payments
Royalties: The Label agrees to pay the Artist 0% of net revenues generated from the Licensed Material. Net revenues are defined as gross revenues minus expenses related to the distribution and promotion of the Licensed Material.
Payment Schedule: Royalty payments will be made on a 6-month basis. The Label will provide detailed statements to the Artist along with each payment.
3. Artist Obligations
Submission Requirement: The Artist must submit a minimum of one (1) new song per month to the Label during the term of this Agreement.
Self-Promotion: The Artist is required to promote their own material via their own means. This includes, but is not limited to, social media, personal websites, and live performances.
Standards Compliance: The Artist agrees to meet the quality and professionalism standards set by the Label. The Label reserves the right to terminate this Agreement if the Artist fails to meet these standards after reasonable efforts have been made to assist the Artist.
Original Content: The Artist represents and warrants that all submitted music and content are their original work and comply with all relevant copyright laws. The Artist confirms that no content is entirely generated by artificial intelligence, except for permissible uses as outlined by the Label.
4. Marketing and Promotion
Promotion: The Label agrees to use commercially reasonable efforts to market and promote the Licensed Material through various channels, including social media, press releases, and advertising.
Expenses: The Label will cover all reasonable expenses related to the marketing and promotion of the Licensed Material. These expenses will be deducted from the gross revenues before calculating the net revenues for royalty payments.
5. Rights and Obligations
Rights Reserved: All rights not expressly granted to the Label under this Agreement are reserved by the Artist. The Artist retains ownership of the Licensed Material and all associated copyrights.
Quality Control: The Label agrees to use the Licensed Material in a manner that preserves the quality and integrity of the Artist’s work. Any modifications or edits to the Licensed Material must be approved by the Artist.
6. Representations and Warranties
Artist’s Warranties: The Artist represents and warrants that they have the legal right and authority to enter into this Agreement and grant the rights specified herein. The Artist further warrants that the Licensed Material does not infringe on any third-party rights.
Label’s Warranties: The Label represents and warrants that it will use the Licensed Material in compliance with all applicable laws and regulations.
7. Termination
Termination for Convenience: Either party may terminate this Agreement for convenience by providing 30 days’ written notice to the other party.
Termination for Cause: Either party may terminate this Agreement immediately in the event of a material breach by the other party that is not cured within 30 days of written notice of such breach.
8. Governing Law
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from this Agreement shall be resolved under the jurisdiction of the courts of the United Kingdom.
9. Miscellaneous
Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral.
Amendments: Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
By signing this Agreement, the Artist and Label acknowledge that they have read, understood, and agreed to these terms and conditions.
Terms and Conditions for Submission of Content
1. AI-Generated Content Prohibition We do not accept and will refuse to publish any content that is generated by artificial intelligence (AI). This includes, but is not limited to:
Cover art
Music
Lyrics
Any other creative contents produced by AI
2. Originality of Content All submitted content must be the original work of the artist and must not include any elements created by AI. This ensures the authenticity and integrity of the material we publish.
3. Verification Process We reserve the right to verify the originality of all submitted content. If content is found to be AI-generated or includes AI-generated elements, it will be rejected and not published.
4. Consequences of Violation Any artist found to be submitting AI-generated content will be subject to the following actions:
Immediate rejection of the submitted content
Possible termination of the contract with Statute Records
Banning from future submissions to Statute Records and its sub-labels
5. Legal Compliance Artists must ensure their content complies with all relevant copyright laws and regulations. Statute Records will not be held responsible for any legal issues arising from non-compliance.
6. Agreement Acceptance By submitting content to Statute Records, artists agree to abide by these terms and conditions. Failure to comply will result in the rejection of their content and potential further actions as stated above.
